The course focuses on legal rules governing transnational business, focussing on key business transactions―from import and export, contracts, and finance to countertrade, dispute resolution, and more―giving them both context and providing real-world applications. New cultural and ethical issues emerging in global business shall also be taken into consideration.
1) Learn to critically analyze the legal risk and opportunities of doing business in the global market;
2) Develop strategic skills for negotiating and drafting transnational business contracts;
3) Learn to handle transnational business disputes;
4) Develop interpersonal communication skills, which are essential for the purposes set forth sub 1), 2) and 3) above.
Basic knowledge of Private Law and International Law.

4. Applicable Law to International Contracts. Negotiation and Drafting of International Contracts

7. International Sale of Goods and INCOTERMS
8. Supply Contracts
9. Commercial Agents, Distributors and Franchisees
10. Joint Ventures and Foreign Direct Investment
- L. Di Matteo, International Business Law and the Legal Environment: A Transactional Approach, 4th ed., Routledge.
Please note that since the Di Matteo textbook is very difficult to obtain, then students will use and study the textbook by:
R. Cavalieri, V. Salvatore, An Introduction to international contract law, latest edition, Turin, Giappichelli. It is highlighted that the study of the textbook is necessary to be acquainted with legal terminology and the peculiarities of International Business Law.
Further material in the form of slides ppt or other readings will be distributed by the Instructor and uploaded on moodle.

Twenty-six multiple choice questions and a practical case (5 points).
Students may consult, during the exam, the official legal texts (i.e. the text of international conventions, EU regulations, Incoterms, domestic legal provisions) only in paper/print out format and only if such texts are free of comments or notes. Textbook and individual notes are not allowed.
An oral exam may be requested by a student having received a minimum grade of 18/30. The grade obtained at the end of the oral exam will be weighed with that of the written exam.
Lectures and class discussion of cases.
Some videos may be used to enhance understanding and raise discussions.

Office hours take place after class or via Zoom. Students are kindly required to send an email in advance if they need to schedule a meeting with the Professor.

Thesis supervision shall be asked in person during office hours. Only students who have passed the exam with a grade equal to or greater than 27/30 will be supervised. The first draft of the thesis must be delivered to the teacher at least one month before the deadline for uploading the thesis.
