BUSINESS AND LABOUR LAW MOD.1

The Business Law module is part of the Business and Labour Law course and is included in the Bachelor's Degree Programme in Business Administration and Management.
The module aims to provide students with a solid knowledge and understanding of the fundamental aspects of Corporate Law through the use of a functional and international approach. The programme mainly focuses on the common legal structure of corporations and on topics concerning agency problems, fundamental changes, related party transactions, control transactions and primary aspects of Capital Market Law.
In particular, students will be provided with an in-depth description of the main legal factors affecting corporates, their organisation and regulatory solutions to ensure their efficient management.

The Business Law module aims to achieve the following objectives:
1. Knowledge and understanding: the student will acquire the knowledge of the main characteristics of corporations, the system of legal sources of Corporate Law and the ability to understand the main legal issues concerning corporations and the various regulatory strategies aimed at their solution.
2. Applied knowledge and comprehension skills: the student will acquire the ability to identify and analyse the main controversial aspects of corporate law, as well as to recognise the regulatory strategies applied by Corporate Law sources in different jurisdictions, including by analysing the case law.
3. Evaluation: the student shall develop his/her analysis and judgement skills on Corporate Law, with regard to the ratio and to the interests that are brought into consideration by the regulations of different jurisdictions.
4. Communication skills: the student shall acquire the ability to use the lexicon of Business Law in speaking and writing expressions.
5. Learning skills: the course will provide students with the ability to use a cross-disciplinary and functional method of studying legal issues.

Other materials, articles, working papers will be indicated by the teacher during the course and uploaded in the Moodle page of the course, together with the slides that will be used during the lectures.

The exam consists of 11 multiple choice questions and lasts 30 minutes.
For each correct answer the candidate will get 3 points, a penalty of 1 point will be applied for getting an incorrect answer and the lack of answer will get no point.
The first two wrong answers will not be counted.
